1. Agreement to terms

These Terms & Conditions ("Terms") form a binding agreement between you and ADIBA LLC ("ADIBA"). By accessing our websites, creating an account, or using any ADIBA service, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.

Where you and ADIBA have signed a separate written agreement or order form for our services, that agreement governs and prevails over these Terms to the extent of any conflict.

2. The services

ADIBA provides banking infrastructure software and related services, including the ADIBA Banking Cloud suite, ADIBA Open Banking, ADIBA Retail Engine, developer tooling and the ADIBA console. We may add, modify or discontinue features over time to improve the services.

3. Accounts and eligibility

• You must provide accurate information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must notify us promptly of any unauthorised use or security incident.
• Our services are intended for business and professional use, not consumers acting outside their trade or profession.

4. Acceptable use

You agree not to:

• Use the services unlawfully or in breach of applicable financial, data protection or sanctions regulations.
• Interfere with, disrupt, probe or attempt to gain unauthorised access to the services or related systems.
• Reverse engineer, copy or resell the services except as expressly permitted.
• Upload malicious code or use the services to infringe the rights of others.

5. Fees and payment

Fees for paid services are set out in the applicable order form, subscription plan or pricing page. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for. Late payments may result in suspension of the services. Specific refund, cancellation and pricing terms are set out in our Refund Policy.

6. Intellectual property

All intellectual property rights in the services, including software, documentation and the ADIBA brand, remain owned by ADIBA LLC or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the services for your internal business purposes. ADIBA is a registered trademark of ADIBA LLC.

7. Confidentiality and data protection

Each party will protect the other's confidential information. Our processing of personal data is described in our Privacy Policy. Where we process personal data on your behalf, a data processing agreement governs that processing.

8. Service availability and support

We aim to provide a reliable, secure service and will use commercially reasonable efforts to maintain availability. Specific service levels, if any, are set out in your order form. We may carry out maintenance and will seek to minimise disruption.

9. Warranties and disclaimers

Except as expressly stated and to the maximum extent permitted by law, the services are provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or loss of profits, revenue or data. Each party's aggregate liability arising out of or relating to these Terms is limited to the fees paid or payable for the services in the twelve months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

11. Term, suspension and termination

These Terms apply for as long as you use the services. We may suspend or terminate access where you materially breach these Terms, where required by law, or to protect the security or integrity of the platform. You may stop using the services at any time, subject to any committed subscription term.

12. Governing law

These Terms are governed by the laws applicable at ADIBA LLC's place of establishment in the Qatar Financial Centre (QFC), Doha, Qatar, and the parties submit to the jurisdiction of its competent courts, without prejudice to any mandatory rights you have under local law.

13. Changes and contact

We may update these Terms from time to time. Continued use of the services after changes take effect constitutes acceptance. Questions about these Terms can be sent to hello@adiba.app.
